We are a newly organized blank check company incorporated as a Cayman Islands exempted company on September 27, 2024 for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. However, our management team engaged in discussions with potential business combination partners in their capacity as officers of Hennessy VI, and we may pursue potential business combination partners that had previously been in discussions with Hennessy VI’s management team. While we may pursue an acquisition opportunity in any business, industry, sector or geographical location, we intend to focus on industries that complement our management team’s background, and to capitalize on the ability of our management team to identify and acquire a business, focusing on the industrial technology and energy transition sectors. We will seek to acquire one or more businesses with an expected aggregate enterprise value of $500 million or greater. Since 2014, our management team has announced, completed, or otherwise served as an advisor to 13 different business combinations with early- to late-stage industrial products and services companies, industrial technology and energy transition companies on six continents. Our management team is one of the most experienced SPAC sponsors and is a leader in the SPAC asset class. Our executive offices are located at 195 US Hwy 50, Suite 309, Zephyr Cove, Nevada.
